Terms of Service

These Terms are an agreement between you and OFFCUT LLC, a Florida limited liability company, and its successors and assigns ("Offcut," "we," "us"). They cover the Offcut website, app and related services.

You accept these Terms when you check the box at sign-up. If you use Offcut without an account, you accept them by using it. If you don't agree, don't use Offcut.

1. What Offcut is

Offcut is a place for people to list and find surplus construction materials and equipment. Users post listings and message each other. That's the service.

2. Who can use Offcut

You must be at least 18 and able to enter a binding contract. Offcut is open to individuals and businesses. You don't need a contractor license to use it. If you use Offcut for a company, you confirm you have authority to bind that company, and "you" includes the company. You can't use Offcut if we've banned you.

3. Your account

Give accurate information and keep it current. One account per person. Keep your login secure. You're responsible for what happens under your account.

4. Listings and conduct

Our Marketplace Rules are part of these Terms. When you post, you promise that:

• You own what you're listing or have the right to sell, rent or give it away.
• The listing is true, including quantity, condition, age and any known defect.
• The item and the deal comply with the law, including licensing, safety, environmental and disposal rules.
• Your photos and text are yours to post.

Free listings are for your own surplus. Services, store inventory and business promotion go through paid advertising when it's offered.

Offcut has no tolerance for objectionable content or abusive users.

5. Deals, payment and taxes

Buyers and sellers make their own deals and pay each other directly, away from Offcut. Offcut takes no fee on a sale and has no role in payment. We don't resolve disputes between users.

You're responsible for any sales, use or other taxes and any reporting that applies to your deals. Offcut doesn't collect tax and doesn't give tax advice.

6. Items are as-is

Between buyer and seller, everything on Offcut is sold or provided AS IS, WHERE IS unless the seller gives a written warranty. Any such warranty comes from the seller alone. Inspect before you pay, load or accept anything. Don't rely on a listing or a photo to tell you whether material is safe, code-compliant, rated for a use, or free of asbestos, lead, contamination, liens or defects.

7. Pickup, loading and jobsite risk

Users decide among themselves who gets access to a site, who loads, what equipment is used, who operates it, what protective gear is needed, and how a load is secured and hauled. Offcut has no role in any of that and no control over any site. See our pickup safety guide.

To the fullest extent the law allows, you take on all risk from meeting other users, entering a site, loading, hauling, and using anything you get through Offcut. That includes the risk of injury, death and property damage.

8. Automated screening and moderation

Offcut uses automated systems, which may include AI, to screen listings, messages, profiles and reports. Those systems can be wrong. Screening is not an inspection, approval or endorsement. A listing being live doesn't mean it's accurate, legal, safe, or that the seller owns it.

We may block, filter, hide, re-rank, delay, hold, edit for formatting, or remove content, and limit or suspend accounts, at any time and for any lawful reason. This can happen automatically, without a person reviewing it first. We have no duty to monitor content.

9. Messaging

Keep messages respectful and about the listing. We store messages. We may screen them automatically, mask contact details, and read them when needed for safety, moderation, a report, or a legal reason.

10. Badges and reviews

If Offcut shows a badge on a profile, it means only what the description of that badge says we checked. It does not mean a user owns what they list, holds a license or insurance, or can be trusted. It is not a guarantee of any person, item or deal. Reviews are other users' opinions.

11. AI writing tools

If Offcut offers a tool that drafts listing text, it's optional. Drafts can be wrong. Read every draft and fix it before you post. Nothing is posted until you approve it. Once you post it, it's your listing and you're responsible for every word.

12. Your content

You keep ownership of what you post. You give Offcut a worldwide, non-exclusive, royalty-free license to host, copy, display, adapt and share your content to run, promote and improve Offcut. That includes using listing content to improve search, moderation and our materials library and to train Offcut's automated tools. The license ends when your content is removed, except for copies in backups, records we keep under our Privacy Policy, and tools already trained.

13. Copyright

Don't post what you don't have rights to. To report infringement, send our copyright agent the work, the location of the material on Offcut, your contact details, a statement of good-faith belief, a statement under penalty of perjury that your notice is accurate and that you're authorized to act, and your signature.

If your content was removed and you believe that was a mistake, you can send a counter-notice to the same address. We end the accounts of repeat infringers in appropriate circumstances.

14. Ads and paid placement

Offcut doesn't sell ads or paid placement yet. When it does, paid content will be labeled, separate terms will apply, and payment won't mean we've checked or approved what's being promoted.

15. No warranty from Offcut

Offcut is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We don't promise that the service will be available or error-free, or that listings, users or screening results are accurate.

16. Release

This release doesn't cover intentional misconduct or anything else the law doesn't allow you to release.

18. Indemnity

You will defend and pay Offcut and its owners, officers, employees, contractors and agents for claims, losses and costs, including reasonable attorney's fees, arising from your listings or content, your deals, personal injury or property damage caused by items you sold, rented, gave away or received, your conduct at a pickup, or your breach of these Terms or the law. To the extent the law allows, this applies even if the claim alleges Offcut's negligence.

19. Suspension and ending your account

You can delete your account in the app at any time. We can suspend or end your account or access if you break these Terms, create risk, or if we stop offering the service. Sections that by their nature should survive will survive, including 5 to 7 and 12 to 22.

20. Changes to these Terms

We may update these Terms. We'll change the date above. For material changes we'll give notice in the app or by email, and we may require you to accept again before you continue. If you keep using Offcut after a change takes effect, the new version applies.

21. Florida law and courts

Florida law governs these Terms, without regard to conflict-of-law rules. Any dispute goes only to the state courts in Washington County, Florida, or the federal court for the Northern District of Florida, and you agree to their jurisdiction.

22. Other terms

If part of these Terms can't be enforced, the rest stays in force. These Terms and the documents they link to are the whole agreement between you and Offcut about the service. You can't transfer your rights under them. We can, including to a successor entity or a buyer of the business.
